"Digital Products" means to intangible items sold or delivered via the Application that are accessed or downloaded electronically. These include, but are not limited to, software, e-books, digital artwork, music files, non-fungible tokens (NFTs), and online courses.
"Physical Products" means to tangible goods sold or delivered via the Application that require physical shipping or in-person delivery. These include, but are not limited to, clothing, accessories, electronics, merchandise, and custom physical items.
"Services" means any services offered through the Application, including but not limited to delivery, consulting, digital asset management, and related support.
"Application" means to the software application known as 1TimeShop, including any updates, enhancements, website, app or features.
“Personal Data" means any information relating to an identified or identifiable individual as defined under the Nigeria Data Protection Act (NDPA) 2023.
“Processing" means to any operation or set of operations performed on Personal Data, including collection, recording, organization, storage, adaptation, retrieval, consultation, use, disclosure, dissemination, erasure, or destruction.

This Application is comprised of various pages operated by Joevexm NIG LTD.
This Service is offered to You upon Your acceptance of the Terms, conditions, notices hereinafter contained. Your use of this Service constitutes Your agreement to all the Terms contained herein.

a. We may provide You with other items in connection with Your use of this Service.
b. We hereby grant You the license to use our Service for Your personal, non-commercial use to retrieve, display and view the Content on a computer screen.
c. The license created under these Terms is limited, non-exclusive, non-transferable and revocable.
d. You agree that You will not use the Contents or Materials for any other purpose which may be contrary to your license to use this Service.
e. Any unauthorized use by You shall terminate the permission or license granted by this Application.
5. PROHIBITED USE
a. You are expressly prohibited from collecting, downloading, copying or otherwise communicating with other Users from the Application.
b. You agree not to use the Service in the following manner:
(I). to harass, abuse or threaten others or otherwise violate any person's legal rights;
(II). to perpetrate fraud;
(III). to create or transmit unnecessary spam to any person or URL;
(IV). to post, transmit or cause to be posted or transmitted, any communication or solicitation designed to obtain password, account, or private information of other Users or persons;
(V). to post copyrighted content which does not belong to You and without obtaining the prior consent of the author;
(VI). to use robot, spider, scraper or other automated means to access this Service without obtaining the prior consent of the Owner;
(VII). to engage in or create any unlawful gambling, sweepstakes, or scheme;
(VIII). publishing or distributing any obscene or defamatory material;
(IX). using this Service in any way that impacts user access to the Application;
(X). to engage in advertisement or solicit any User to buy or sell products or services without obtaining the prior consent of the Owner;
(XI). disseminating computer viruses or other software;
(XII). violating any intellectual property rights of the Owner or any third party;
(XIII). to use the Application or any of the Services for illegal spam activities.
c. Additionally, you agree that You will not do as follows:
(I). interfere or attempt to interfere with the proper working of this Application; or
(II). bypass any measures we may use to prevent or restrict access to this Application;
(III). to interfere with or circumvent the security features of this Service;
(IV). to damage, disable, overburden or impair this Service or any other person's use of this Service.
(V). to use this Service contrary to the applicable laws and regulations or in a way that causes, or may cause harm to this Application, any person or business entity.
d. The Owner has the authority to review all content posted by the Users on this Application and we reserve the right to terminate Your use of the Service for violating any of the prohibited uses.
e. You acknowledge that the Application does not control the content or any information that may be posted by other users. Consequently, it is not responsible or liable for those contents or information.
6. INTELLECTUAL PROPERTY OWNERSHIP
a. You agree that we retain ownership of all Content included on the Application (text, graphics, video, software, data, page layout, images, and any other information capable of being stored in a computer) other than the contents uploaded by users.
b. You are granted a limited license only, subject to the restrictions provided in this Terms, nothing on this Application shall be construed as granting any license or right to use any trademark or logo displayed on the Application without obtaining the prior written consent of the Owner.
c. You hereby agree not to reproduce or distribute the Owner's intellectual property or use the intellectual property for any unlawful purpose.
7. YOUR CONTENT
a. You undertake that You retain the exclusive right and ownership of Your Content and You are not infringing on any third-party rights.
b. You retain all rights and ownership to Your Content. However, when You upload Your Content, You grant the Owner a worldwide license to communicate, distribute, host, make modification or derivative works (solely for the purpose of showcasing Your work), reproduce, publicly display, publicly perform and use such content.
This license is granted in accordance with Your rights under the NDPA 2023 and may be withdrawn upon written request, subject to applicable legal and contractual obligations..
c. The Owner reserves the right to remove any of Your Content or any content that is unlawful, offensive, defamatory, or otherwise objectionable or violates any intellectual property rights or these Terms.
8. USER ACCOUNT
a. You may be required to register with us to have access to our Products and Service.
b. You will be required to provide certain personal information, including but not limited to Your name, username, email address, Telephone No., and password.
Such data will be processed lawfully and fairly in accordance with the Nigeria Data Protection Act 2023 and our Privacy Notice.
c. This personal information must not be disseminated to anyone and when You discover that Your information has been compromised, you agree to notify us immediately. You also acknowledge that You are responsible for the security of Your personal information and that the Owner does not accept liability for the security of Your account as You agree to be responsible for maintaining the confidentiality of Your passwords or other account identifiers which You choose and all activities under Your account.
d. The Owner reserves the right to terminate Your account where You have provided false inaccurate or incorrect information.
e. It is at the sole discretion of the Owner to terminate the account or refuse to sell any Product or Services to any User at any time and for any reason.

9. SALE OF GOODS/SERVICES
a. The Application may offer Products or Services for sale. The Owner undertakes to give accurate information about the description of the Products and Services. However, the Owner does not guarantee the reliability of any information relating to the Products and Services.
b. We reserve the right to refuse to sell the Products and Services on the Application at our sole discretion.
c. Note that there is no refund/replacement policy as the Products and Services are sold "As it is".
10. PAYMENT AND BILLING
a. The total price will also include the taxes applicable on the date of purchase.
b. The total price of the Products and Services including all applicable taxes is included upon the confirmation of Your order.
c. Order Cancellation and Refund Policy
All orders are considered final, so please consider carefully before placing an order. The merchant would have started to prepare the food and therefore no refunds would be possible. In the event of a cash-on-delivery order, your order will be delivered as instructed and cash must be collected by the rider.
All financial data collected for billing purposes will be processed securely and in accordance with the Nigeria Data Protection Act 2023. Your card details are encrypted and not stored by 1TimeShop but handled through secure third-party payment processors.
11. REFUNDS
a) All purchases made through the 1TimeShop Application are considered final. As a general policy, 1TimeShop does not offer refunds or replacements except as required by applicable law. However, refunds may be permitted in limited circumstances, including where a physical product is defective, damaged, or materially different from its description; where a digital product is corrupted, inaccessible, or not as described; or where a product is not delivered within the expected timeframe, and the issue remains unresolved after contact with the Vendor.
b) Users seeking a refund under these exceptions must submit a written request within three (3) days of the delivery date or the expected delivery date. The request must include proof of purchase and relevant evidence to support the claim, such as photographs, screenshots, or shipping details. Refund requests will be reviewed within seven (7) business days of submission.
c) Vendors will have an opportunity to respond to and resolve the issue directly with the User within three (3) business days of notification. If the matter remains unresolved, 1TimeShop may intervene to facilitate a resolution.
d) Where a refund is approved, it will be issued as a credit to the User’s 1TimeShop wallet. Wallet credits may be used exclusively for future transactions within the Application and are not transferable for cash, bank transfers, or payments to external accounts.
Please note that certain products are not eligible for refunds, including custom or personalized items, services already rendered, and digital products that have been accessed or downloaded successfully unless proven to be defective.
If you failed to show up to pay and claim your order for more than 60 minutes of our rider's waiting time on your specified address, your order will be forfeited and the full amount of the order will be added to your next order as payment for the damages and you will be blocked from ordering until you have paid your previous bill.
In the event where delivered goods are incomplete and the order has already been paid in cash, you may contact 1timeshop.com by sending an email or by sending them on 1timeshop Facebook page. In these rare cases, you may choose to ask the rider to go back to the store to retrieve the missing item(s) or have the total amount of the missing item(s) deducted to the total amount of their next purchase. Also, once the order has been processed, the customer/account owner may no longer change the delivery address. The orders will be delivered to the address indicated in the submitted order/request. If the customer incorrectly specified their delivery address, an address redirection fee not lower than N600 will be charged to the customer.
For online transactions, the amount of the missing item(s) or if the order has been cancelled by 1timeshop.com or the customer shall be transferred to their online wallet. Note that this will only be applicable if the order has been verified by 1timeshop.com representatives and partner restaurants and only the total net amount is refunded excluding processing fees. Shall the customer insist on refunding the total amount, refund time may take 3 to 10 business days.
Orders may be cancelled due to the reasons listed below:
Delivery Address is outside serviceable areas
Ordered Items are unavailable
Merchant is unable to accept orders
Extreme weather conditions
Fake or suspicious orders
System or network failure
Other reasons that are deemed to be impossible for delivery operations
12. DELIVERY/SHIPPING OF PRODUCTS
a. We do not make deliveries outside Nigeria.
b. We use the following delivery services to deliver our Products:
Joevexm Logistices LTD and Third Parties Partners.
c. The Products purchased will be delivered to the address You provide within the following period: 45min to 1hr. The Products may be delivered in installments.
d. If nobody is available to take the delivery, you are required to contact us.
e. Deliveries
i) 1timeshop.com and its partner riders shall not be held responsible if the goods are delivered to the incorrect address. The customer/user shall be charged for their goods via Debit card or credit card payment.
ii) 1timeshop.com, its partner riders and its partners try their best to prepare and package the goods for delivery. In any such event, 1timeshop.com and its partner riders shall not be held responsible for damages on decorations or deformation of goods.
iii) To avoid incidents involving ruined decorations or deformed goods, please review the comments and notes provided on the descriptions of the goods.
13. PERFORMANCE OF SERVICES
Upon payment for our Services, we may offer You the opportunity to book a time and date for the performance of the Services. The Services will be performed within a reasonable time.

15. ELECTRONIC COMMUNICATIONS
You consent to receive electronic communications, and You agree that all agreements, notices, disclosures and other communications we provide to You electronically, via email and on this Application, satisfy any legal requirements that communications must be in writing.
16. REVERSE ENGINEERING AND SECURITY
You hereby agree as follows:
(I). not to reverse engineer or permit the reverse engineering or dissemble any code or software from or on the Application or Services; and
(II). not violate the Security of the Application or other Services through any unauthorized access, circumvention of encryption or other security tools, data mining or interference with any host or User or network.
All security measures related to personal data processing are implemented in line with the data security standards set out under Section 41 of the Nigeria Data Protection Act 2023.
17. CHANGE TO SERVICE
a. You accept that the Owner may vary, alter, amend, or update the Content or Service, Products and Services at any time and without Your consent.
b. You also agree that the Products and Services may not be available at all times, and this may be as a result of the maintenance or for any other reason and we shall not be held liable for the failure to provide this Service.
18. INDEMNIFICATION
You hereby agree to indemnify the Owner, its employees, agents; and third parties from and against all liabilities, cost, demands, cause of action, damages; and expenses (including reasonable attorney's fees) arising out of Your use or inability to use, any uploads made by You, Your violation of any rights of a third party and Your violation of applicable laws, rules or regulation.

The Owner may from time to time interrupt Your access or use of this Application to perform some maintenance or emergency services and You agree that the Owner shall not be held liable for any damage, loss which may arise thereof.
21. TERMINATION/RESTRICTION OF ACCESS
The Owner reserves the right to, at its sole discretion, terminate Your access to this Application and the related Service or any part thereof at any time, for any reason and without notice.
The Owner shall have the right to terminate or terminate/suspend Your account for violating the Terms of this Service.
If You register with us, you may terminate this Service at any time by issuing a prior notice to us. Once this is done, you will no longer be bound by the provisions of this Terms.
Where a termination involves the deletion of a user’s personal data, such data shall be deleted or anonymized, except where required by law to retain such data for a specific period in accordance with Section 24 of the Nigeria Data Protection Act 2023.
22. GENERAL PROVISIONS
a. Assignment: The Owner shall be permitted to assign, transfer its rights and/or obligations under these Terms. However, you shall not be permitted to assign, transfer any rights and/or obligations under these Terms.
b. Entire Agreement: These Terms, disclaimers and any other agreement relating to the use of this Application constitutes the entire agreement and shall supersede any other agreement.
c. Separate Agreements: You may have other legal agreements with us. Those agreements are separate from these Terms. These Terms are not intended to alter, amend, revise or replace the terms of the other agreement.
d. Applicable law: These Terms shall be governed by the laws of the Federal Republic of Nigeria, including but not limited to the Nigeria Data Protection Act 2023 and any applicable regulations issued by the Nigeria Data Protection Commission (NDPC).
e. Variation: The Owner may revise these Terms at any time as it sees fit, and by using this Application, you undertake that You shall review the terms of the revised Terms before accepting same. If any part of the of the Terms or any modification thereof is considered invalid or unenforceable, the remaining parts shall be considered valid and enforceable.
f. Waiver: Failure to exercise any right in these Terms shall not operate as a waiver. The right or remedies herein provided are cumulative and not exclusive of any right or remedies provided by law.
g. Severability: Every provision contained herein is intended to be severable. If any provision is invalid for any reason whatsoever, such invalidity shall not affect the validity of other clauses of these Terms.
